Outsourcing the M&A Function to The CDI Group

Many businesses and companies grow their company both organically and thru selected acquisitions. Very large companies have their own, full-time, employee staffed, M&A Department. M&A Departments usually handle their company’s need for Mergers, Acquisition, Dispositions.

The CDI Group works with five (5) kinds of Clients who Outsource their M&A Function to us:

The 1st kind of CDI Client is not large enough to afford their own full-time, employee based, M&A Department. And what ever they spend on an M&A Function, to be a Variable Cost instead of a Fixed Cost. Other than a Retainer Fee that is credited toward an Success / Engagement Fee when earned by CDI, the Client who Outsources their M&A Function to CDI does not have any fixed or on-gong cost until we earn our Success / Engagement Fee by creating a successful merger, acquisition and/or divestiture for them. This CDI Client gets the benefit of The CDI Group looking at more than 100 companies a year for sale.

The 2nd kind of CDI Client is large enough to be able to afford their own M&A Department, but they want the cost of their M&A Function to be a Variable Cost instead of a Fixed Cost. Other than a Retainer Fee that is credited toward an Success / Engagement Fee when earned by CDI, the Client who Outsources their M&A Function to us does not have any fixed or on-gong cost until we earn our Success / Engagement Fee by creating a successful merger, acquisition and/or divestiture for them. This CDI Client gets the benefit of The CDI Group looking at more than 100 companies a year for sale.

The 3rd kind of CDI Client is large enough to be able to afford their own M&A Department, and has its own M&A Department. But the “Corporate M&A Department” does not have time to look for acquisitions for its subsidiaries. We have another CDI Client who Outsources their M&A Function to us for any transactions of less than $100 million Transaction Value. These kinds of companies Outsource their M&A Function to The CDI Group.

The 4th kind of CDI Client is a CDI International Client. The may or may not have their own M&A Department, but want a USA based firm like The CDI Group to represent them in the USA. Because several of CDI’s Partners have lived and/or worked outside the USA, we know how to work effectively and Create Success for and with people of different countries, cultures, laws, accounting regulations, ways of valuing a company, etc.

The 5th kind of CDI Client is a Business Owner, Corporate Leader who wants The CDI Group to Divest (“Sell-Off”) one or more business lines, operating groups, divisions, etc. They may or may not have their own M&A Department, but selling-of one or more parts of a business is normally a very sensitive and somewhat complicated assignment. We have also managed engagements during which we were selling one division of a company ABC, while at the same time, we were buying a company for company ABC. We have done it before, so we know first hand just how sensitive and complicated it can be. But, it can be done successfully.
